What is Corporation Tax?

Corporation Tax is the tax payable by UK limited companies, clubs and associations on their taxable profits. Taxable profits include trading profits, investment income and chargeable gains made when the company sells assets for more than they cost.

Unlike Income Tax, there is no bill issued by HMRC. Your company is responsible for working out how much it owes, paying it on time and then filing a Company Tax Return (form CT600) together with full statutory accounts and tax computations. Getting any part of that process wrong can lead to interest, penalties and, in some cases, an HMRC enquiry.

Every UK limited company must pay Corporation Tax on its taxable profits. Unincorporated associations, members’ clubs, co-operatives and foreign companies with a UK branch or office are also within the charge. Sole traders and ordinary partnerships pay Income Tax through Self Assessment instead.

The main rate is 25% where taxable profits exceed £250,000. Companies with profits of £50,000 or less pay the small profits rate of 19%. Profits between those thresholds are taxed at the main rate with marginal relief, which produces an effective rate that rises gradually between 19% and 25%. These limits are divided between associated companies.

HMRC charges an automatic £100 penalty the day after the deadline, and a further £100 after three months. At six months HMRC estimates your bill and adds a 10% penalty on the unpaid tax, with another 10% at twelve months. Interest also accrues on late-paid tax from the due date.

You can deduct costs incurred wholly and exclusively for the purposes of the trade – staff wages, employer pension contributions, rent, insurance, professional fees, marketing, travel, subscriptions, software and allowable use-of-home costs. Capital purchases such as equipment and machinery are relieved through capital allowances rather than as direct expenses. Client entertaining is not deductible.

Yes. A Company Tax Return is required for every accounting period in which your company is active, even where no tax is payable. Filing a loss also allows you to carry it back or forward and obtain relief against other profits.
